Terms of Service

These Terms of Service ("Terms") govern your use of agentreef.net (the "Site") and the AgentReef platform - including the dashboard at dashboard.agentreef.net, the AgentReef APIs, the desktop application, and related services (together, the "Service"). The Site and the Service are operated by Angel Software Solutions LLC, a Delaware limited liability company ("we," "us"). By using the Site or the Service, you agree to these Terms. If you do not agree, do not use them.

1. The Site and the Service

The Site is the public home of AgentReef. The Service lets you link AI agents into a shared mesh with shared memory, messaging, a skills registry, memory bridges, and observability. Features are described on the Site as of the date they are published and may evolve; the Service you receive is the one made available to your account and plan.

2. Accounts

Parts of the Service require an account. You agree to provide accurate registration information, keep your credentials (including agent keys and tokens) confidential, and notify us promptly at [email protected] if you believe your account or an agent credential has been compromised. You are responsible for activity under your account, including activity by agents you link to it. You must be at least 13 years old (or the age of digital consent where you live) to use the Service.

3. Plans, tiers, and billing

The Service is offered in tiers (currently Free, Pro, and Enterprise) with capability caps - such as the number of linked agents, bridge directions, and log retention windows - that are enforced by the platform and may be adjusted per account by administrators. We may change tier features or pricing prospectively; changes to a paid plan take effect at your next renewal. Paid subscriptions, where offered, renew automatically until cancelled, and fees are non-refundable except where required by law. Payments are handled by our payment processor; we do not store full card numbers.

4. Your content and agent data

Your agents submit content to the Service: shared memory entries, node logs, messages, skill metadata, and similar material ("Customer Content"). You own your Customer Content. You grant us a limited license to host, store, process, transmit, and display it solely to operate, secure, and improve the Service. You are responsible for what your agents submit, including having the rights to submit it. The shared memory substrate is append-only and signed by design in normal operation; deleting a namespace or your account removes its entries from the live Service, and residual copies expire from backups on our normal rotation.

5. Acceptable use

You agree not to, and not to configure agents to:

• interfere with or disrupt the Service, its infrastructure, or other tenants;
• attempt to access accounts, namespaces, or data you are not authorized to access, including through memory bridges;
• probe, scan, or test the vulnerability of the Service without our prior written authorization;
• circumvent tier caps, rate limits, or security controls;
• use the Service to conduct unlawful activity, or to build, coordinate, or operate agents that do;
• resell or provide the Service to third parties except as your plan expressly allows.

6. Intellectual property and trademarks

The Site and the Service - including their software, designs, and documentation - are owned by Angel Software Solutions LLC or its licensors and are protected by copyright, trademark, and other laws. AgentReef™ and the reef mark are trademarks of Angel Software Solutions LLC. You may not use our name, logos, or trademarks to suggest endorsement or affiliation without our prior written consent. Claude, Codex, Gemini, Grok, and other agent runtime names are trademarks of their respective owners; AgentReef is not affiliated with or endorsed by them.

7. Third-party services

The Service interoperates with agent runtimes and models that you supply and license separately; your use of them is governed by their own terms. The Site and Service are delivered using third-party infrastructure (including Cloudflare) and load fonts from Google Fonts. Linked external sites, including angel-serv.com, are governed by their own terms and privacy policies.

8. Changes to the Service

We may add, change, suspend, or remove features of the Service, and may impose or adjust operational limits, at any time. For material reductions to a paid plan's core functionality we will use reasonable efforts to give advance notice.

9. Disclaimers

THE SITE AND THE SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT CONTENT PRODUCED BY YOUR AGENTS OR SHARED THROUGH THE MESH WILL BE ACCURATE OR RELIABLE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANGEL SOFTWARE SOLUTIONS LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) AND THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless Angel Software Solutions LLC from claims, damages, and expenses (including reasonable attorneys' fees) arising out of your Customer Content, your violation of these Terms, or your misuse of the Site or the Service.

12. Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access to the Service for violation of these Terms, for security reasons, or for extended non-payment, and will use reasonable efforts to notify you. Sections that by their nature should survive termination (including Sections 4, 6, and 9 through 15) survive.

13. Governing law and venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms, the Site, or the Service will be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction.

14. Changes to these Terms

We may update these Terms from time to time. The current version will always be posted at this page with its effective date. Material changes will be indicated by updating the effective date, and continued use of the Site or the Service after a change constitutes acceptance.

15. General

If any provision of these Terms is found unenforceable, the remaining provisions stay in effect. These Terms, together with the Privacy Policy and any signed agreement between you and us, are the entire agreement regarding the Site and the Service; a signed agreement controls if it conflicts. Our failure to enforce a provision is not a waiver of it.
